AI training data licensing: a buyer's rights checklist
Last updated /Business data for AI agents
AI training data licensing for buyers is a list of questions to take to your counsel before you rely on a file. Can you train? Can you evaluate? Do outputs carry obligations? May affiliates and subprocessors see the slice? How long may you keep it, and what must you delete? What evidence shows the holder was allowed to grant the use in the first place? What uses are forbidden even if the rest is allowed? This page does not draft the clauses that answer those questions. It does not tell you that a particular draft is valid. Your lawyers do that work on your paper, in your jurisdiction.
Holders have a different explainer. How exclusivity, term, and audit show up in a draft tells an owner what those controls do. The holder checklist that says look for the words is what a data licensing agreement should cover. Read them so you recognize the shape. Do not treat them as your advice. Why a holder may not have the right to grant anything is why legality is not a yes for every company.
The sourcing step that should already have happened is how a buyer sources proprietary business data. What you might train an agent to do, if the permission exists, is how business data trains AI agents to do real work. Describe a need at the buyer request. Do not send counsel's questions to that form as a substitute for counsel.
Why the grant can be narrower than the demo
A sample can look usable and the grant can still forbid training, allow only evaluation, ban subprocessors, or stop you from keeping outputs. Teams discover this after a pipeline is built. The questions below are how you notice the fence while the draft is still editable. A fence you do not like is a reason to walk away. Walking away is cheaper than a model you are not allowed to ship.
Questions worth putting in writing to counsel
- Training and evaluation. Does the grant allow each use you named in the brief, or only one of them? A right to evaluate is not a right to train.
- Outputs. What obligations attach to models, embeddings, or reports you create from the slice? Does the holder claim a reach into those outputs that you cannot accept?
- Affiliates. Which of your entities may touch the data? A grant to one subsidiary is not a grant to the group.
- Subprocessors. May a vendor, a labeling firm, or a hosted trainer see the slice? If the answer is no, your architecture may not match the paper.
- Retention and deletion. How long may copies exist, including backups and logs of the transfer? What must you be able to show when the term ends?
- Restrictions. Are there fields, populations, or purposes that remain forbidden even inside an otherwise permitted slice?
- Evidence of source permission. What shows that the holder could grant this use: their contracts, notices, and authority? A signature from a vendor who did not have the right does not give it to you.
What we will not write for you
We will not propose clause text, choose your law, or tell you a redline is enough. What AI data licensing means for a company is the holder-side idea of a permission. The buyer overview is how a profile is discussed. The marketplace page is matching. None of them is your outside counsel. This page is not legal advice.
Ways buyers skip the questions
- Accepting a grant of all AI uses because the demo was convincing. The demo is not the grant.
- Assuming your standard vendor paper covers training data. It may not mention outputs, affiliates, or source authority.
- Ignoring the holder's upstream contracts. If they could not permit the use, your license does not repair that.
- Letting a procurement checklist replace a lawyer because the questions were printed on a website. Printing is not advice.
- Conflating this list with the seller explainer. If you only read the owner page, you have not asked the buyer questions.
How a draft reaches you
Unlockt, LLC operates Big Data/Little Guy. We can coordinate a conversation after a profile looks close. We do not negotiate your legal position for you. If no profile is close, there is no draft to review. Say what you need on the buyer request. Holders who are asking about their own files use the free data value check instead.
When a transfer is contemplated, acceptance of the bytes is still separate from acceptance of the rights. What a receiving team checks before accepting a dataset is the file check. A file can pass integrity and still be outside the grant. Keep both checklists.
Questions people ask
Will you draft our license?
No. Take these questions to your counsel. We will not supply clause language or a form agreement.
Is the seller terms page enough?
No. That page explains controls to an owner. You still need advice on your entities, your vendors, and your use.
Does a right to evaluate include training?
Do not assume it. Ask counsel to find the verbs in the grant. If training is absent, it is absent.
What evidence of the holder's permission should we expect?
Whatever your counsel says is enough to rely on. A verbal assurance is a weak start. We do not define the legal standard for you.
Can affiliates share one copy by default?
Only if the grant says so. Group companies are not one party unless the paper makes them one.
Where do we send a sourcing need while counsel reviews a template?
The buyer request can carry the brief. Counsel's review of a template does not create a match, and a match does not finish the review.
Describe the data you need
Tell us the use, the records, and the limits. A request is not a promise that a matching dataset is available.
